Zuuro Seller Terms and Conditions

Welcome to Zuuro, Japan’s premier multi-vendor jewelry marketplace. These Terms and Conditions ("Agreement") govern your relationship with Zuuro as a seller. By registering or listing products on the Zuuro platform, you agree to comply with the following comprehensive set of terms and responsibilities designed to ensure trust, transparency, and quality throughout our marketplace ecosystem.

1.2 Purpose of the Platform
Zuuro is designed to connect individual and commercial jewelry sellers with global buyers. Our platform facilitates:
- Creation and management of detailed product listings.
- Digital authentication and AR/VR integration.
- Access to marketing, promotion, and advertising services.
- Payment and refund processing.
- Fulfillment and packaging assistance.
We aim to maintain a transparent, regulated, and trustworthy environment for both buyers and sellers.
2. User Roles and Responsibilities
2.1 Zuuro’s Role
Zuuro operates as a digital intermediary and technology provider, enabling sellers to connect with buyers. Zuuro is not a party to the transaction between the seller and the buyer and does not take title to the merchandise at any point.
Platform Services Include:
- Tools for inventory and catalog management.
- Secure payment gateway integrations.
- Fulfillment resources, including packaging materials.
- Buyer dispute mediation.
- Seller performance analytics.
Platform Limitations:
- We do not guarantee buyer behavior, transaction volume, or earnings.
- We may experience scheduled or unscheduled downtime; no compensation is provided for temporary service interruptions.
- Zuuro reserves the right to withhold certain seller features based on internal risk evaluations.
2.2 Seller Responsibilities
Compliance and Authenticity
Sellers must ensure all listed products are:
- Authenticated with accurate purity details (e.g., karat, gemstone quality).
- Fully compliant with Japanese Consumer Product Safety Law, Product Labeling Law, and other applicable laws.
- Accompanied by legal documentation such as hallmark certificates, if applicable.
Listing Integrity
- Use original, high-quality images without watermarks or URLs.
- Avoid manipulated images or exaggerated claims.
- Provide full disclosure on product materials, weight, brand, dimensions, and origin.
Order Fulfillment and Returns
- Ship orders within the committed timeline.
- Share valid tracking numbers within 24 hours of shipment.
- Accept returns and provide refunds for defective or misrepresented items as per Zuuro’s Refund Policy.
- Bear return shipping and restocking costs where applicable.
Legal Compliance
Sellers must:
- Adhere to Japanese laws regarding metals, chemicals, and consumer goods.
- Handle all customs declarations for international shipments.
- Not list prohibited or illegal items (e.g., animal products, radioactive metals, counterfeit goods).
Ethical Conduct
Sellers may not:
- Create duplicate or fake accounts.
- Engage in review manipulation.
- Divert customers off-platform.
- Misuse buyer information or platform tools.
3. Seller Account Management
3.1 Registration
To become a seller, you must:
- Provide legal business registration (if applicable).
- Submit valid government-issued identification.
- Register a valid Japanese bank account or internationally recognized payout system.
- Agree to Zuuro’s KYC and AML (Anti-Money Laundering) checks.
3.2 Account Maintenance
- Keep all details including phone numbers, tax ID, and address updated.
- Maintain login confidentiality and restrict unauthorized access.
- Notify Zuuro immediately of any security breach.
3.3 Suspension and Termination
Zuuro reserves the right to suspend or terminate seller accounts for:
- Violation of this Agreement.
- Inactivity beyond 90 consecutive days.
- High order cancellation or return rates.
- Risk indicators such as sudden order surges, fake listings, or poor feedback.
3.4 Account Closure
- Sellers may request account closure at any time.
- All active listings will be removed.
- Certain data (sales history, disputes, etc.) will be retained for regulatory purposes.
4. Listings and Transactions
4.1 Listing Guidelines
All product listings must:
- Belong to eligible categories (fine/fashion jewelry, loose gemstones).
- Include comprehensive details: product title, SKU, brand, material, weight, dimensions, certifications, and images.
- Not include any external website links or plagiarized content.
- Use appropriate keywords; misleading or spammy tags are prohibited.
Zuuro may:
- Remove listings that violate these rules.
- Request revisions or suspend listings pending clarification.
4.2 Order Processing & Fulfillment
- Sellers must ship products using reliable carriers.
- Upload shipment and tracking details within 24 hours of dispatch.
- Package items using only Zuuro-approved materials.
- No unauthorized promotional materials or gifts may be inserted without written approval.
- Include a printed packing slip with each order.
Failure to fulfill orders on time may result in penalties or temporary suspension.
4.3 Packaging Compliance
- Packaging must be tamper-proof and comply with safety standards.
- For international shipping, customs labels must be accurate.
- Fragile items must be clearly marked and safely packed.
4.4 Payments and Fees
Sellers are subject to the following charges:
- Referral Fees: Percentage of total transaction value, varying by category.
- Subscription Fees: Monthly access charges for marketplace tools and services.
- Advertising Fees: Optional promotional boosts charged on a pay-per-click or impression basis.
Payment Schedule:
- Payouts are processed bi-weekly.
- Fees and deductions are netted from the total payable.
- Transaction reserves may be held in high-risk scenarios (e.g., new sellers, chargebacks).
4.5 Taxation
- Zuuro is responsible for Japanese VAT and consumption tax filings.
- Sellers are responsible for tax obligations in buyer jurisdictions.
- Sellers must input tax registration numbers where required.
5. Returns and Refunds
5.1 General Policy
Sellers must:
- Accept returns for damaged, defective, or misrepresented products.
- Comply with the buyer-protection Refund Policy.
5.2 Timelines and Procedures
- Buyers must initiate return requests within 7 days of delivery.
- Sellers must respond within 48 hours.
- Refunds are issued to the buyer after returned items are received and verified.
5.3 Seller Costs
- Sellers bear costs for return shipping and restocking.
- Any Zuuro-imposed refund processing charges will be debited from the next payout.
6. Dispute Resolution
6.1 Mediation via Zuuro
Zuuro provides an internal dispute resolution mechanism:
- The "A-to-Z Zuuro Guarantee" is triggered in unresolved cases.
- Sellers must cooperate by providing invoices, tracking details, or product certificates.
6.2 Outcomes
- Decisions may lead to seller refunds, fee forfeitures, or listing removal.
- Repeated disputes may result in account restrictions
7. Intellectual Property and Content
7.1 Ownership
Sellers retain ownership of their:
- Brand trademarks.
- Product images.
- Catalog descriptions.
7.2 Platform License
By listing on Zuuro, you grant us:
- A royalty-free, irrevocable, global license to display and distribute content across the platform.
- Permission to promote listings via social media, ads, blogs, or affiliates.
Sellers must ensure they have legal rights to all content used.
7.3 IP Violations
Sellers may not:
- Use copyrighted or trademarked materials without authorization.
- List counterfeit or replica products.
- Use celebrity images or endorsements without consent.
8. Limitation of Liability
Zuuro is not liable for:
- Product defects, safety failures, or incorrect labeling by sellers.
- Damages resulting from customs delays or international shipping losses.
- Any indirect, incidental, or consequential losses related to seller performance.
The platform is provided "as-is," without warranties regarding uptime, functionality, or sales expectations.
8.1 Force Majeure
Zuuro will not be held responsible for performance delays or failure caused by:
- Natural disasters (earthquakes, floods).
- Government mandates or import restrictions.
- Pandemic or global crises.
9. Governing Law & Jurisdiction
9.1 Legal Framework
This Agreement is governed by the laws of Japan.
9.2 Dispute Venue
Any legal disputes shall be exclusively heard by:
- Tokyo District Court for claims over ¥1.4 million.
- Tokyo Summary Court for smaller claims.
9.3 Arbitration
Arbitration may be pursued if both parties provide mutual written consent, in accordance with the Japan Commercial Arbitration Association.
10. Amendments to This Agreement
10.1 Right to Modify
Zuuro may amend these Terms with a minimum of 15 days’ notice.
- Updates will be shared via Seller Dashboard or registered email.
- Continued use after the effective date of new terms indicates acceptance.
10.2 Material Changes
Changes affecting fees, dispute processes, or restricted items will be explicitly highlighted and require re-consent.
